1.- Agreement and Acceptance

These Terms and Conditions (“Terms” or “Agreement”) constitute a legally binding agreement between you (“User” or “Member”) and LUXY FUN, a project and brand owned by PRIME SIMA SERVICES LLC, a Florida-based company – USA, which provides services for organizing exclusive events, trips, and group tours (“Events”), as well as private One-to-One dinners (“Dinners”), focused on fostering social interactions. This Agreement sets forth the terms and conditions applicable to the use of the website, social media, and all other digital platforms (“Web”) that the company uses to communicate and interact with its users and members, as well as all services (“Services”) offered by LUXY FUN. “User” means any person who visits the website, and “Member” means any person who registers and is accepted on the website or is a paying customer. Please read these Terms and Conditions of Use carefully to ensure that you understand them. By using this website, you unconditionally agree to comply with and be legally bound by these Terms, and you further agree to be subject to them for as long as you continue to use the website and the services offered. If you do not agree to these Terms, you are not authorized to access information or continue using this website. These Terms contain a binding arbitration clause and a class action waiver that affect your rights regarding dispute resolution. By accepting these Terms, you agree to submit disputes to arbitration with LUXY FUN on an individual basis.

2.- Changes to the Terms

Luxy Fun reserves the right, at any time and without prior notice and in its sole discretion, to amend, modify, or update these Terms and Conditions. Luxy Fun may notify users of changes by posting an updated version on our website and/or by sending an email notification, depending on the nature of the changes and as deemed appropriate. It is the user’s and member’s responsibility to review these terms periodically to stay informed of any amendments, modifications, or updates.

3.- Eligibility 

Users and members must be at least 18 years of age and legally capable of entering into this agreement. By using our services, you represent and warrant that:

• You are of legal age (at least 18 years old).
• You have no final conviction in criminal proceedings related to serious crimes, sex crimes, or violent crimes.
• You have not been sanctioned for previously registering with Luxy Fun.

4.- Description of Services

Luxy Fun provides services for organizing exclusive events, trips, and group tours (“Events”), as well as private One-to-One dinners (“Dinners”), with a focus on fostering social interactions. We create opportunities for men and women to meet during the events we host in the cities where we operate. Our services may include a personalized search for specific profiles as described by a client.

We select the city’s most iconic and exclusive venues to offer the best experiences and luxury entertainment.

Our community consists of a select group of individuals who undergo an admission process to ensure our standards of excellence, safety, exclusivity, and confidentiality.

At each event, our members will meet other members who have confirmed their attendance, and gentlemen may also invite other ladies from our community.

During our events, we organize various activities designed to encourage interaction among members, ensuring a fun and comfortable experience, and ultimately fostering meaningful connections between members.

Gentlemen members may also invite ladies from our community (depending on their membership status) to a private dinner at the city’s finest restaurants partnered with Luxy Fun (“Restaurants”). Luxy Fun staff or restaurant staff will ensure the safety of our members during the dinner and while they are on the premises.

If a gentleman extends an invitation to a specific event or dinner, we cannot guarantee the availability or willingness of any lady in our community, nor can we guarantee that she will meet all of his selection criteria.

5.- Reservation for admission

Luxy Fun reserves the unilateral, discretionary, and final right to accept or reject any membership application, and to remove any member at any time, without prior justification, if it is determined that the profile does not meet its standards of excellence, or due to a breach of this Agreement.

6.- User and Member Obligations

By using our website or services, you agree to and are required to comply with and follow the following rules of conduct. Some obligations apply to all users, while others apply specifically to members who register on our website or to attend our events.

6.1 Accurate information

You agree to provide truthful, up-to-date, and complete information about yourself on our website or via WhatsApp or Telegram when using our services as a member. This includes, but is not limited to, personal information, demographic data, photographs, and preferences or expectations.

Member Data: Upon registration, you will be asked to share personal information and photographs for the creation of profiles. You represent and warrant that all information and materials you provide are truthful, accurate, and up-to-date. If any of your information changes, you agree to immediately notify the Luxy Fun team so that your information can be updated.

False Statements: If you provide false, misleading, or fraudulent information, or if we have reasonable grounds to suspect this, Luxy Fun reserves the right to suspend or terminate your account and/or services immediately for cause. In such a case, you may lose your membership or your event pass (see the Cancellation and Refunds section for more details). False statements include using another person’s photos as if they were your own, using outdated photos, using altered photos, lying about your identity or background, or otherwise deceiving Luxy Fun or other members.

Identity and Background: By becoming a Member, you authorize Luxy Fun to conduct a background check using public records as part of the acceptance process. This check helps us assess your eligibility for our Services. You also authorize Luxy Fun to conduct additional checks at any time during our business relationship, at our discretion, including criminal background checks, as permitted by law. You acknowledge that Luxy Fun is not responsible for the background, intentions, or conduct of other individuals, and that any background checks we conduct on you are for Luxy Fun’s internal use only. We are not obligated to share the results of any such checks with you. If your verification reveals information that, in Luxy Fun’s sole discretion, makes you ineligible for our Services or otherwise violates these Terms, Luxy Fun may terminate your Services immediately and without refund. Such a decision will be made by Luxy Fun in its sole discretion and will be final.

As a member, it is your responsibility to decide what information to share and post. Luxy Fun is not liable for any misuse of such information by third parties. Luxy Fun is not responsible for any member information or other member activities that may infringe upon the rights of third parties. Luxy Fun reserves the right to refuse, suspend, or remove from its Services, in whole or in part, any profile or other member information for any reason.

6.2 General Use and Prohibited Conduct

Whether as a User or a Member, you agree not to misuse our website, services, or any information you obtain through Luxy Fun. You must NOT:

Violate laws or regulations: Use the website or services for any purpose that violates local, state, national, or international laws or regulations. This includes all laws related to privacy and intellectual property.

Infringe rights: Post, send, or otherwise transmit content that infringes or violates the rights of third parties, including intellectual property rights (copyrights, trademarks, etc.), privacy rights, or publicity rights.

Providing Third-Party Personal Data Without Consent: Do not provide Luxy Fun with another person’s personal information unless you have their explicit consent. Likewise, you agree not to ask us to contact anyone or to publish third-party information without their authorization.

Harassment or Harm: Do not use the Services to harass, stalk, intimidate, abuse, defame, insult, or threaten any person (whether Luxy Fun staff, other Members, or anyone you connect with through our service). Hate speech and offensive or discriminatory content (e.g., racist, sexist, xenophobic, etc.) are strictly prohibited.

Posting or providing obscene or illegal content.

Spreading malware or causing disruptions: Introducing viruses, worms, Trojans, spyware, or any other malicious code into our website or systems, or taking any action that may disable, overload, damage, or impair the functioning of our services (e.g., launching denial-of-service attacks, using bots or other automated systems to scrape or flood the site).

Attempting unauthorized access: You are prohibited from attempting to gain unauthorized access to any part of our website, services, servers, or other users’ data. This includes refraining from attempting to hack, carry out phishing attacks, or circumvent security measures.

Reselling or Exploiting the Services: You may not reproduce, duplicate, copy, sell, trade, or resell the Services (or any part thereof) for commercial purposes without our prior written consent.

Interfering with the Service: Taking any action that interferes with or disrupts the integrity or operation of the website or our operations. This includes interfering with the experience of other customers or with our consultants’ ability to perform their work.

Luxy Fun reserves the right, but not the obligation, to monitor user communications and content on the Website and the Services. We may remove or edit any content that violates these Terms or refuse to transmit any message that we reasonably deem objectionable. You are solely responsible for the content you provide and the actions you take while using Luxy Fun.

6.3 Cooperation Process and Invitations

By registering as a Member, you agree to cooperate reasonably with Luxy Fun and to comply with the rules of conduct set forth herein. These rules are designed to ensure a safe and comfortable experience during our events or dinners.

Profile Management: Luxy Fun will review and refine your Profile information and publish it with your express consent. Any modification may be considered a material breach of the agreement and could result in termination of the Services without refund; however, such modifications are subject to approval by the Luxy Fun team. Consistency in your profile content is important to other Members.

Exclusive Communication: The Luxy Fun team manages messaging and communication to coordinate dinners or events. You agree not to contact any Member on your own unless the Member gives you permission to do so after the experience. This ensures clear communication and prevents confusion or duplicate messages. Similarly, you will not attempt to bypass Luxy Fun by seeking out an online contact and reaching out to them directly; doing so may result in the termination of your services.

Attendance at Events and Dinners: For gentlemen, when a lady from the community accepts your invitation to a dinner or event, you agree to attend at the specified date and time. For ladies, when you accept an invitation from a male member, you agree to attend at the specified date and time. Failure to arrive on time may be considered a serious breach of the agreement and could result in the termination of the Services or your membership without a refund.

Cancellation of Attendance: If you need to cancel your attendance at an event or dinner, you agree to notify the Luxy Fun team at least 48 hours in advance. Problematic behavior, repeated unavailability, or frequent cancellations may result in the termination of the Services or your membership without a refund.

Participation and effort: The success of the experiences and connections depends largely on your active participation. You agree to do your best during the event or dinner, which includes actively participating, arriving on time, and being open, friendly, and courteous to other members. At the end, you may provide constructive feedback (what you liked or didn’t like), which will help us improve future experiences.

Member Conduct Guidelines: You agree to behave appropriately and treat Luxy Fun staff and other members with respect and courtesy during events or dinners. Any rude, aggressive, inappropriate, or unethical behavior toward our staff or other members will be grounds for termination of the agreement and your membership. Examples include making obscene, racist, or excessively sexual comments, among others. Our goal is to maintain a professional and safe environment for all members and direct or indirect Luxy Fun staff.

If you have any questions or need adjustments to the process, you agree to communicate this to the Luxy Fun team during the designated hours.

Repeated failure to comply with the aforementioned rules of cooperation releases Luxy Fun from any obligation to provide services and may result in the termination of the Services or your membership without a refund.

6.4 Consent for Communications and Contact

By providing your contact information to Luxy Fun (such as your phone number and email address), you agree to receive communications from our team.

Service-related communications: Luxy Fun and its representatives may contact you via WhatsApp, Telegram, or email to coordinate registrations, payments, events, or dinners, or to respond to requests for information or complaints. We may send you occasional promotional communications, such as special offers, newsletters, or announcements about Luxy Fun’s services, exclusively via email. You agree to receive these communications and understand that you cannot opt out of receiving them if you wish to continue using the Services (unless you cancel the Services). However, we will strive to contact you at reasonable times and infrequently so as not to be intrusive. As part of our confidentiality standards, our team will not contact you persistently to offer our services.

7.- Memberships, Pricing, Payments, and Refunds

7.1 Specific Terms of Service 

All prices for memberships and events are listed on our website and are part of this agreement. All prices include taxes. 

7.2 Automatic Membership Renewal

The membership service you have purchased has a fixed term and does not renew automatically.

7.3 Payments and Returns

Once processed, payments for memberships or events are non-refundable. By making a payment, you acknowledge that Luxy Fun’s services require immediate allocation of resources and are not eligible for a refund, reimbursement, or reversal once service delivery has begun, unless the contracted Services are definitively canceled by Luxy Fun.

7.4 Billing

You are required to provide the Luxy Fun team with the billing information in accordance with the applicable laws of each country. You will receive the invoice at the email address provided for this purpose. If you do not receive the invoice within 48 hours, you are required to follow up to ensure its delivery.

7.5 Extra payments for Events

The website provides details on what each event includes; please read it carefully if you have confirmed your attendance at one of them. You agree to pay for any additional expenses related to food, drinks, or purchases made directly at the venues where the events will take place.

7.6 Additional payments for Dinners

At dinners, the gentleman agrees to pay the entire bill for both himself and the lady directly at the restaurant. Luxy Fun may offer a complimentary item, which will be clearly mentioned by the staff at the partner restaurant. 

8.- Intellectual Property

The content of the Luxy Fun website is protected by copyright, database rights, trademarks, and other intellectual property rights. Neither the User nor the Member has the right to use or license any of these intellectual property rights. Neither the User nor the Member may modify, reproduce, republish, copy, post, upload, transmit, or distribute in any way the information or materials on the website. This includes information, names, graphics, logos, icons, designs, words, titles, or phrases appearing on the website.

The display of trademarks on the website does not imply the granting of any license. Any unauthorized downloading, retransmission, copying, or modification of the trademarks or content herein may constitute a violation of federal common law or trademark or copyright laws, and may result in legal action against the infringer.

In addition, certain product names, logos, brands, and other trademarks that appear or are mentioned on the website are the property of their respective owners. These trademark owners are not affiliated with this website and do not sponsor or endorse Luxy Fun’s materials.

Our website, our communications, or during our events or dinners may display third-party trademarks or content (e.g., logos of restaurants, venues, or brands). All third-party trademarks and content are the property of their respective owners, and their display does not imply any affiliation with or endorsement by such third parties. You must not use any third-party content from our site in a manner that infringes upon the rights of such third parties.

If you believe that any content on our website or used in our service infringes your intellectual property rights (such as your copyrighted work or trademark), please notify us immediately with the relevant details, and we will investigate and respond appropriately (including removing or disabling access to the infringing material in accordance with applicable law).

9.- Privacy, Data Management, and License

We take your privacy very seriously, which is why we have outlined our Privacy and Data Handling Policy below to explain how we collect, use, and protect your personal information. By using our Services, you consent to the collection and use of your data as described in this agreement.

To provide our services, we collect and process personal and potentially sensitive information that you choose to share (for example, age, photos, preferences, or other personal data). You understand that we will use this data exclusively to provide and improve our Services.

As a Member, when you register, you will provide us with content that may include personal information, photographs, profile descriptions, and other materials (“your Profile”) for use on your website profile. You retain ownership of Your Profile. Luxy Fun does not claim ownership of the personal photos, biographical information, or any other original material you provide. However, we need certain rights to use this content and provide our Services effectively. Therefore, you grant Luxy Fun the following license:

Grant of License for Non-Confidential Information: For the information you provided to us that is described in the registration forms as “Non-Confidential,” you hereby grant Luxy Fun a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, adapt, translate, distribute, and display your content, in whole or in part, solely for the purpose of providing our Service and operating our business. You agree that certain elements of your content (e.g., your name, age, profession, short bio, general location, photos, and videos) may be displayed or shared solely for publication on your profile on our Website, or to display or share with members interested in inviting you, or to display or share in the Telegram groups for events to which you have confirmed your attendance. Non-confidential information will not be displayed or shared in physical or digital promotional or marketing materials for our brand or service, unless you provide us with your written consent.

Confidential Information: The information you provided to us that is marked as “Confidential” on the registration forms will not be disclosed, shared, or published under any circumstances to users or members in general, nor will it be shared or published on our website, social media, or through any other physical or digital medium, unless you provide us with your written consent.

Modifications: Our team may make minor modifications to your content (for example, retouching a photo or correcting the grammar in your bio) to improve your profile. Such modifications are covered by the license mentioned above. We will not distort your image or write false information; the modifications are intended to present you in the best possible light, based on the truth.

Warranty of Rights: You represent and warrant that you possess all necessary rights to provide your Content to Luxy Fun and to grant the license described above. This means, for example, that you are the copyright owner of the photos or text you provide to us, or that you have obtained permission from the owner to use them in this context. You also warrant that your Content does not infringe the rights of third parties and that our use of it, in accordance with the license granted, will not violate any law or the rights of any person. You agree to indemnify Luxy Fun for any breach of this warranty.

Use in Marketing or Testimonials: We value your privacy. We will not use your content in our promotional or marketing materials unless you provide us with your written consent. The license you grant above for service purposes does not automatically authorize us to publish your identity or image in advertising.

10.- Safety and Security

We verify our members’ sensitive information. Our staff and that of our partner venues will be responsible for your safety at all times. For dinners at partner venues, staff will follow safety protocols before you leave the premises. We do not disclose your contact information to other members unless you provide us with your written consent. However, your interactions outside of and after our events or dinners with people you meet through our Services are your sole responsibility. Luxy Fun makes no guarantees regarding other people or members. You assume all risks associated with meeting others through the Service.

If you experience or witness inappropriate or unsafe behavior, you must report it to the Luxy Fun team immediately. While Luxy Fun may take internal measures at its discretion, it is not responsible for the conduct of contacts or third parties.

You agree that Luxy Fun is not liable for any damage, injury, loss, or harm resulting from your interactions outside of and following our events or dinners with people you meet through our Services.

11.- Third-Party Rights

This section of the terms and conditions constitutes an agreement between Luxy Fun, its officers, employees, agents, licensors, suppliers, partners, and any third party that provides information to Luxy Fun. Such individuals or entities shall have the full right to enforce and demand compliance with these provisions directly from any User or Member.

12.- Compensation

You agree to indemnify, defend, and hold harmless Luxy Fun, its parent company, subsidiaries, and each of their representatives, as well as their respective officers, directors, employees, agents, licensors, affiliates, partners, and any information and service providers to Luxy Fun against any and all claims, demands, complaints, lawsuits, damages, losses, liabilities, costs, and expenses of third parties (including reasonable attorneys’ fees and court costs) arising out of or related to:

Breach of this Agreement: Any violation of these Terms by you, including, but not limited to, a breach of your representations and warranties under this Agreement. For example, if you provided false information and a third party suffers damages or makes claims against us due to such false information, you must indemnify us.

Your Conduct: All of your actions or omissions when using our Services. This includes your behavior toward other Users or Contacts (whether within or outside the Service). If you harm someone or violate their rights while using the Service, you will be held responsible for the consequences.

Your content: Any content or material you submit, post, or transmit through our Services (including content we post on third-party dating profiles) that causes harm or infringes on the rights of third parties. For example, if you provided us with a photo for us to use and it turns out you didn’t have the rights to it and the rightful owner sues Luxy Fun, you agree to indemnify us for that.

Violations of the Law or Rights: Any violation by you of any law, regulation, or the rights of third parties in connection with your use of the Services. This may range from violations of data privacy laws (for example, the misuse of personal information obtained through the Service) to intellectual property infringements or other offenses.

Luxy Fun reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such a case, you agree to cooperate with our defense of such claim, as reasonably requested. You also agree not to settle any such matter without Luxy Fun’s prior written consent.

This indemnification obligation shall survive the termination or expiration of this Agreement and your use of the Services. This means that even after you stop using the Service, if a claim related to your use arises later, you may still be liable for the costs and damages described above.

13.- Exclusion of Warranties

Use of the Service is at your own risk. Luxy Fun provides the Website and the Services “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, Luxy Fun disclaims all warranties of any kind, whether express, implied, or statutory, with respect to the Services, the Website, and any content or information provided therein. This includes, but is not limited to:

Implied Warranties: We expressly disclaim any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from the course of dealings or trade practices. We do not guarantee that our Services will meet your expectations or requirements.

No Guarantee of Availability: We do not guarantee that the Services or the Website will be uninterrupted, timely, secure, or error-free. While we strive to maintain service availability and accuracy, we cannot promise that access will always be available or that there will never be technical failures, delays, or errors. Any downtime scheduled for maintenance will be minimized and, where possible, communicated, but emergency outages may occur.

No guarantee of results: We make no guarantees or representations regarding the quality, suitability, accuracy, or success of any connection made at our events. We do not guarantee that using our services will result in finding a partner, nor do we guarantee the compatibility, behavior, or character of any person you contact. Any statements regarding “average” results or success stories are for illustrative purposes only and do not constitute a promise of what will happen in your particular case.

Third-Party Services: We make no warranties regarding third-party websites or services that you may use in connection with our Service. For example, we cannot guarantee that third-party services are error-free or secure. Your use of third-party services is subject to their own terms and conditions, and we are not responsible for any issues that arise from your use of them.

Content and Information: All information and content (including user profiles) presented through the Service is provided as a general guide. While we strive to provide accurate and useful information, we do not guarantee that it is 100% complete, reliable, or error-free. For example, a user’s profile information is provided by the user themselves; we do not guarantee its accuracy, although we ask users to be honest and verify certain information. Use your own judgment before relying on any information obtained through the Service.

Digital Security: Luxy Fun strives to maintain a secure digital environment, but does not guarantee that the website, our servers, or our communications are free of viruses, malware, or other harmful components. You should use up-to-date security software on your devices. Downloading materials or accessing links from our website or emails is done at your own risk.

Professional Advice: No part of our Service, website, or content should be considered legal, financial, or medical advice. Our staff may offer relationship advice, but they are not licensed counselors or therapists (unless explicitly stated for a specific individual). This disclaimer of warranties is a fundamental part of this Agreement and a condition of your use of our Services. If you are a consumer with statutory rights (for example, under consumer protection laws), nothing in this Agreement is intended to affect those rights.

14.- Disclaimer

To the fullest extent permitted by law, Luxy Fun, its parent company, subsidiaries, and each of their representatives, officers, directors, employees, agents, licensors, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with the use (or inability to use) of the Website or the Services. This includes, but is not limited to, damages for: emotional distress, loss of opportunities, loss of profits, loss of data, personal injury, or any other intangible loss, even if we have been advised of the possibility of such damages.

Specifically, Luxy Fun shall not be liable for:

Member Outcomes or Conduct: Any emotional or physical harm, financial loss, or any other type of harm arising from encounters or relationships (or attempts at a relationship) with other members. This includes any incident occurring before, during, or after an event or dinner, communications that turn negative, rejections, or any incompatibility issues. You assume the risks inherent in interacting with other people.

Acts of Third Parties: Any act, omission, or content provided by third parties (including other users, members, contacts, or third-party providers). If, for example, a member behaves inappropriately or illegally, or if a third-party website mishandles your data or causes a dispute, these events are beyond our control and we are not liable.

Service interruptions: Any interruption or cessation of access to the Services, any error, virus, or harmful code that may be transmitted through our website by any third party, or any error or omission in any content or communication.

Loss of data or content: If any data or content you have provided to us is lost, damaged, or cannot be recovered (for example, due to a technical failure), our liability will be limited as described below. We recommend that you keep backup copies of any important information (for example, your profile description) just in case.

Monetary Transactions: Apart from the refund obligations explicitly set forth in these Terms, Luxy Fun’s financial liability for any claims related to billing or payments is limited to correcting the error or issuing the appropriate refund as determined by these Terms.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the minimum amount permitted by law. Furthermore, nothing in these Terms shall limit or exclude liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be excluded under applicable law (for example, certain consumer protection or product liability laws may impose a non-waivable liability).

You acknowledge that, without these limitations of liability, Luxy Fun would not be able to offer the Services at the same prices or under the same terms, and that these limitations constitute an essential basis of the agreement between you and Luxy Fun.

15.- Dispute Resolution

In the event of any dispute arising between the User, the Member, and Luxy Fun arising out of the performance, interpretation, compliance, breach, or provision of the Services (including alleged breach) under this Agreement, the User or the Member and Luxy Fun shall first engage in discussions or negotiations to resolve the dispute amicably. If the dispute cannot be resolved through amicable discussions or negotiations, either party may submit it to binding arbitration.

Unless prohibited by law, any dispute or claim arising out of these Terms or your use of the Services shall be resolved exclusively through final and binding arbitration. The arbitration shall be conducted in accordance with the arbitration rules of the American Arbitration Association (AAA) in Florida.

By using Luxy Fun’s Services, the User and the Member agree to resolve disputes through arbitration and waive the right to use the courts as a forum for dispute resolution.

All proceedings must be conducted on an individual basis. You and Luxy Fun waive any right to participate in class actions, class claims, or representative actions. If this waiver is deemed unenforceable, the arbitration clause will not apply and any dispute must be resolved in court.

You and Luxy Fun waive the right to a jury trial for any dispute covered by this agreement. If a claim is brought in court rather than through arbitration, you agree to a non-jury trial.

Luxy Fun may seek injunctive or equitable relief in court to protect its intellectual property or prevent unauthorized use of the Services, without first resorting to arbitration.

This section will remain in effect after the termination of the Agreement and will remain in force even if your relationship with Luxy Fun ends.

16.- Termination/Cancellation

The Customer’s or User’s agreement to comply with the terms and conditions will remain in effect while you use the Website and for the duration of your membership, or until you decide to terminate it, unless Luxy Fun expressly terminates it earlier. Luxy Fun reserves the right to terminate this agreement and cancel your account at its sole discretion, at any time, with or without prior notice and with or without cause, effective immediately.

You have the right to stop using our website or services at any time. Simply ceasing to communicate or participate does not necessarily imply termination of the contract or your payment obligations; you must explicitly notify us if you wish to cancel the service.

Upon termination of your relationship with Luxy Fun for any reason:

Your rights to access and use the Services will cease immediately. You must stop using any confidential materials or proprietary documents you have obtained, and, if we request it, you must promptly return or destroy any copies in your possession (except that you may retain copies of the content of your own profile that you have provided).

Any license you have granted to Luxy Fun will remain in effect to the extent necessary for any permitted use that survives termination (for example, if you agreed to let us use a testimonial on our site, that license continues unless revoked by mutual agreement).

Provisions That Remain in Effect: All provisions of these Terms that, by their nature, are intended to survive termination shall remain in effect, including any license or right to use content granted to us, as well as any payment obligations you incurred prior to termination. The Privacy Policy also remains in effect with respect to the information we retain.

If your account was terminated for violating our terms, we may prevent you from re-registering or using our services in the future. You must not attempt to circumvent the termination (for example, by creating a new account under a different name) without our permission.

Termination of this Agreement does not relieve either party of any liabilities or obligations incurred prior to termination (for example, an unpaid invoice or a liability for damages arising from prior acts).

If you have terminated the Agreement and subsequently wish to resume the Services, you may contact Luxy Fun to inquire about the possibility of re-enrolling. A new agreement and additional fees may apply. We reserve the right to refuse reactivation at our discretion.

17.- Severability/Waiver

If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, void, or unenforceable, such provision shall be modified, to the maximum extent permitted by law, to reflect the intent of the parties; or, if it is not possible to modify it, it shall be severed from this Agreement. Such severance shall not affect the validity or enforceability of the remaining provisions of this Agreement.

18.- Cancel or Reschedule Services

Luxy Fun shall not be liable for any delay or failure in the provision of the Services resulting from causes beyond our reasonable control. This includes, but is not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, pandemics, epidemics, accidents, network infrastructure failures, strikes or labor shortages, transportation shortages, illness, failure to meet the minimum quota required for the event or dinner to take place, or any other event of force majeure.

Luxy Fun reserves the right to cancel or reschedule events or dinners to another date for the reasons described in the preceding paragraph. Notice will be provided up to 24 hours prior to the event and, in the case of dinners, 12 hours prior.

If such an event occurs and affects Luxy Fun’s ability to provide the Services as agreed, we will do our utmost to notify you and will strive to resume service as soon as possible. The deadline for providing the Service will be extended by a period equal to the duration of the delay caused by the force majeure event. Furthermore, we may suspend the Services during such events without incurring any liability.

19.- Entire Agreement and Acceptance

This Agreement, together with the other obligations and rules set forth in writing on the Website, including, but not limited to, the Privacy Policy, constitutes the entire agreement between the User, the Member, and Luxy Fun. This Agreement may not be modified individually by any person not authorized by Luxy Fun to do so.

You acknowledge that you are not relying on any representation or warranty not expressly set forth in these Terms.

By using the Luxy Fun website or services, you acknowledge and agree to these Terms and Conditions.
