1.- Agreement and Acceptance

These Terms and Conditions (“Terms” or “Agreement”) constitute a legally binding Agreement between you (“User”, “Member” or “Guest”) and LUXY FUN, a project and brand owned by the company PRIME SIMA SERVICES LLC, of Florida – USA, which provides services for the organization of exclusive events, trips, evenings, and group guided tours (“Events”), as well as private One-to-One dinners (“Dinners”), focused on fostering social interactions. This Agreement sets forth the terms and conditions applicable to the use of the website, social media, and all other digital technology platforms (“Web”) that the company uses to communicate and interact with its users and members, as well as to all services (“Services”) offered by LUXY FUN. “User” shall be understood as any person who visits the website, and “Member” as any person who registers and is accepted on the website or is a paying client. Please read these Terms and Conditions of Use carefully to ensure that you understand them. By using the website, you unconditionally agree to comply with and be legally bound by these terms, and you further agree to remain subject to them for as long as you continue to use the website and the services offered. If you do not agree to these terms, you have no right to obtain information from or to continue using this website. These Terms contain a binding arbitration clause and a class action waiver that affect your rights with respect to dispute resolution. By accepting these Terms, you agree to submit disputes to arbitration with LUXY FUN on an individual basis.

For the purposes of this Agreement, the following definitions are established:

User: Any person who browses, interacts with, or registers on our website or digital channels, but has not yet completed the admission process. They do not have access to our Web or to the benefits of our community.

Member: Any person who has completed the admission process and, in the case of gentlemen, those who acquire a membership or pay for a specific event. They have temporary access (according to their membership) to our Web and to the benefits of our community.

Guest: Any person who has completed the admission process and purchases a pass for a single evening. They do not have access to our Web or to the benefits of our community.

2.- Modifications to the Terms

Luxy Fun reserves the right, at any time and without prior notice, at its sole discretion, to amend, modify, or update these Terms and Conditions. Luxy Fun may notify changes by posting an updated version on our website and/or by sending an email notification, depending on the nature of the changes and as deemed appropriate. It is the responsibility of the User, Member, or Guest to periodically review these terms in order to stay informed of any amendments, modifications, or updates.

3.- Eligibility

Users, Members, or Guests must be at least 18 years of age and have the legal capacity to enter into this agreement. By using our services, you represent and warrant that you:

• Are of legal age (18 years of age or older).
• Have no final conviction in criminal proceedings related to serious offenses, sexual offenses, or acts of violence.
• Have not been previously sanctioned from registering by Luxy Fun.

4.- Description of Services

Luxy Fun provides services for the organization of exclusive events, trips, group tours, or evening gatherings (“Events”), as well as private One-to-One dinners (“Dinners”), focused on fostering social interactions. We create the bridge for gentlemen and ladies to meet during the events we host in the cities where we operate. Our services may include a personalized search for specific profiles described by a client.

We select the most iconic and exclusive venues in the city and offer carefully designed dynamics in the cities where we operate.

Our community consists of a select group of individuals who undergo an admission process to ensure our standards of excellence, safety, exclusivity, and confidentiality.

At each event, participants will be able to view in advance the profiles of confirmed members. Only King members will have access to the profiles of Queen ladies on our Web and will be able to send them an invitation to attend.

King members may also invite ladies from our community (depending on their membership) to a private dinner at the finest restaurants in the city partnered with Luxy Fun (“Restaurants”). Luxy Fun staff or restaurant staff will ensure the safety of our members during the dinner and throughout their time on the premises.

In the event that a King member sends an invitation for a specific event or dinner, we cannot guarantee the availability or willingness of any lady in our community, nor that she will meet all of his selection criteria.

Participation as a Guest shall be subject to the completion of our admission process and the advance payment of the stipulated price for the specific evening. The Guest expressly acknowledges that they do not have access to our Web, to the viewing of profiles therein, or to the benefits that correspond exclusively to Luxy Fun Members.

5.- Right of Admission

Luxy Fun reserves the unilateral, discretionary, and definitive right to admit or reject any membership application, and to remove any member at any time, without the need for prior justification, if it is determined that the profile does not align with our standards of excellence, or due to non-compliance with this Agreement.

6.- Obligations of the User, Member, and Guest

By using our website or our services, you agree and are obligated to comply with and follow the rules of conduct set forth below. Some obligations apply to all Users, while others apply specifically to Members or Guests.

6.1 Accurate Information

You agree to provide truthful, current, and complete information about yourself on our website or through our official channels — WhatsApp, Telegram, or email — when using our services as a Member or Guest. This includes, but is not limited to, personal information, demographic data, photographs, and preferences or expectations.

Member Data: Upon registration, you will be asked to share personal information and photographs for the creation of profiles. You represent and warrant that all information and materials you provide are truthful, accurate, and up to date. If any of your information changes, you agree to immediately notify the Luxy Fun team in order to update your information.

Guest Data: When applying or registering for an event, experience, or evening, you will be asked to share personal information, identity verification, and photographs. This information will be used exclusively to: (i) evaluate your approval in the selection screening process prior to the activity, (ii) validate your identity and ensure safety, and (iii) create a temporary profile within the organizational channels of the event (such as closed Telegram channels) so that participants of the activity may know who will be attending. The Guest acknowledges and agrees that this data requirement does not grant access to the general web platform or to the member database outside the scope of the contracted event.

False Representations: If you provide false, misleading, or fraudulent information, or if we have reasonable grounds to suspect so, Luxy Fun has the right to immediately suspend or cancel your account and/or services for just cause. In such case, you may forfeit your membership or your event attendance pass (please refer to the Cancellation and Refunds section for further details). False representations include using another person’s photographs as your own, outdated photographs, altered photographs, lying about your identity or background, or otherwise deceiving Luxy Fun or other members.

Identity and verification: By applying as a Member or Guest, you authorize Luxy Fun to conduct a prior verification process that mandatorily includes an interview or virtual video call to validate your identity. You likewise authorize us to review public records and background information at any time, as permitted by law, for the purpose of assessing your eligibility. You acknowledge that any verification is for the exclusive internal use of Luxy Fun and that, if information is detected that alters our safety standards, we may suspend or deny the Services immediately and without refund.

You acknowledge that Luxy Fun is not responsible for the background, intentions, or conduct of other individuals, and that any background verification we conduct on you is for the exclusive internal use of Luxy Fun. We are not obligated to share the results of any verification with you. If your verification reveals information that, at Luxy Fun’s sole discretion, renders you ineligible for our Services or otherwise violates these Terms, Luxy Fun may terminate your Services immediately and without refund. Such decision shall be made by Luxy Fun at its sole discretion and shall be final.

It is the responsibility of the Member or Guest to decide what information to share and publish. Luxy Fun is not responsible for any misuse of such information by third parties. Luxy Fun is not responsible for Member or Guest information or for other activities that may infringe upon the rights of third parties. Luxy Fun reserves the right to refuse, suspend, or remove from its Services, in whole or in part, any profile or any other Member or Guest information for any reason.

6.2 General Use and Prohibited Conduct

Whether as a User, Member, or Guest, you agree not to misuse our website, services, or any information obtained through Luxy Fun. You SHALL NOT:

Violate laws or regulations: Use the website or services for any purpose that violates local, state, national, or international laws or regulations. This includes all laws related to privacy and intellectual property.

Infringe rights: Post, send, or otherwise transmit content that infringes or violates the rights of third parties, including intellectual property rights (copyrights, trademarks, etc.), privacy rights, or publicity rights.

Provide third-party personal data without consent: Do not provide Luxy Fun with another person’s personal information unless you have their explicit consent. You likewise agree not to request that we contact anyone or publish third-party information without their authorization.

Harassment or harm: Do not use the Services to harass, stalk, intimidate, abuse, defame, insult, or threaten any person (whether Luxy Fun staff, other Members, Guests, or any person you connect with through our service). Hate speech and offensive or discriminatory content (e.g., racist, sexist, xenophobic, etc.) are strictly prohibited.

Post or provide obscene or illegal content.

Malware propagation or disruptions: Introduce viruses, worms, trojans, spyware, or any other malicious code into our website or systems, or take any action that may disable, overload, damage, or impair the functioning of our services (e.g., launching denial-of-service attacks, using bots or other automated systems to scrape or saturate the site).

Attempt unauthorized access: Attempting to gain unauthorized access to any part of our website, services, servers, or other users’ data is prohibited. This includes not attempting to hack, conduct phishing attacks, or circumvent security measures.

Resell or exploit the Services: Reproducing, duplicating, copying, selling, trading, or reselling the Services (or any part thereof) for commercial purposes without our prior written consent is strictly prohibited.

Interfere with the Service: Taking any action that interferes with or disrupts the integrity or functioning of the website or our operations. This includes interfering with the experience of other clients or with the ability of our advisors to carry out their work.

Luxy Fun reserves the right, but not the obligation, to monitor user communications and content on the Website and Services. We may remove or edit any content that violates these Terms or refuse to transmit any message we reasonably deem objectionable. You are solely responsible for the content you provide and the actions you take when using Luxy Fun.

6.3 Cooperation Process and Invitations

By registering as a Member or Guest, you agree to reasonably cooperate with Luxy Fun and to comply with the procedural rules set forth herein. These rules are designed to ensure a safe and comfortable experience during our events or dinners.

Profile management: Luxy Fun will approve or refine your Profile data and publish it with your express consent. Modifying it at any time without approval may be considered a material breach of the agreement and could result in termination of Services without refund; however, any modifications always require approval from the Luxy Fun team. Consistency in your profile content is important to other Members and Guests.

Exclusive communication: The Luxy Fun team may manage messaging and communication to coordinate dinners or events. You agree not to contact any Member or Guest on your own unless the Member or Guest themselves permits you to do so after the experience. This ensures clear communication and avoids confusion or duplicate messages. Likewise, you shall not attempt to circumvent Luxy Fun by searching for a contact online and reaching out to them directly; doing so may result in the cancellation of your Services.

Event and Dinner attendance: For gentlemen, when a lady from the community accepts your invitation to a dinner or event, you commit to attending at the indicated date and time. For ladies, when you accept an invitation from a King member, you commit to attending at the indicated date and time. Failure to attend punctually may be considered a material breach of the agreement and could result in termination of Services or membership without refund.

Attendance cancellation: If you need to cancel attendance at an event or dinner, you agree to notify the Luxy Fun team at least 48 hours in advance. Problematic conduct, repeated unavailability, or frequent cancellations may result in termination of Services or membership without refund.

Participation and effort: The success of the experiences and connections depends largely on your active participation. You commit to making your best effort during the event or dinner, which includes active participation, arriving on time, and being open, friendly, and courteous toward others. Afterward, you may provide constructive feedback (what you liked or did not like), which will help us improve future experiences.

Member or Guest code of conduct: You agree to behave appropriately and to treat Luxy Fun staff and other Members or Guests with respect and kindness during events or dinners. Any rude, aggressive, inappropriate, or unethical behavior toward our staff or other Members or Guests shall be grounds for termination of the agreement and your membership. Examples include making obscene, racist, or excessively sexual comments, among others. Our goal is to maintain a safe environment for all members and direct or indirect Luxy Fun staff.

If you have any questions or require any adjustments to the process, you agree to communicate this to the Luxy Fun team during the defined business hours.

Repeated failure to comply with the cooperation rules mentioned above releases Luxy Fun from any obligation to provide services and may result in termination of Services or membership without refund.

6.4 Consent to Communications and Contact

By providing your contact information to Luxy Fun (such as phone number and email address), you agree to receive communications from our team.

Service-Related communications: Luxy Fun and its representatives may contact you via WhatsApp, Telegram, or email for the coordination of registrations, payments, events, or dinners, or to respond to information requests or complaints. We may send you occasional promotional communications, such as special offers, newsletters, or announcements about Luxy Fun services, exclusively via email. You agree to receive these communications and understand that you cannot opt out of receiving them if you wish to continue using the Services (unless you cancel the Services). However, we will make every effort to contact you at reasonable times and infrequently so as not to be intrusive. As part of our confidentiality standards, our team will not persistently reach out to offer our services.

7.- Memberships, Pricing, Payments, and Refunds

7.1 Service-Specific Conditions 

All membership and event prices are published on our Website and form part of this agreement. All prices include taxes. The application of payments, fees, or complimentary access for ladies or gentlemen shall depend exclusively on the specific characteristics and conditions established for each particular event or experience. Such conditions will be explicitly detailed in the announcement for each activity.

7.2 Automatic Membership Renewal

The contracted membership service has a fixed term and does not renew automatically.

7.3 Payments and Refunds

Membership or event payments are non-refundable once processed. By making a payment, you acknowledge that Luxy Fun’s services require an immediate allocation of resources and are not eligible for return, refund, or reversal once the provision of the service has begun, unless the contracted Services are definitively cancelled by Luxy Fun. If the Member or Guest cancels their attendance or fails to appear at the dinner or event for which they confirmed and/or paid, the amount paid is not eligible for return or refund, and you may be temporarily or permanently suspended from our community.

A 100% refund will only be issued when Luxy Fun is the party that definitively cancels the experience or fails to fulfill its value proposition for reasons not attributable to the participant.

7.4 Invoicing

You are required to provide the Luxy Fun team with your invoicing details in accordance with the applicable law in each country. You will receive the invoice at the email address provided for this purpose. If you do not receive the invoice within a maximum of 48 hours, you are obligated to follow up to request its delivery.

7.5 Additional Charges at Events and Evening Gatherings

Our Website details what is included in each event — please read carefully before confirming your attendance. You agree to pay directly at the venues where the events take place for any additional consumptions or purchases made on your own.

In any of the formats, the Member or Guest agrees to pay directly at the partner establishment for any additional purchase or consumption not expressly indicated as included.

7.6 Payments at Dinners

At dinners, the gentleman agrees to pay the full bill for his own consumption and that of the lady directly at the restaurant or venue. Luxy Fun may offer a complimentary item, which will be clearly communicated by the staff of the partner restaurant.

The amount charged by Luxy Fun for Private Dinners corresponds exclusively to the fee for service management, coordination, and security protocol.

Luxy Fun may include special complimentary items in partnership with the establishments, which will be duly notified and coordinated with the restaurant staff in a timely manner.

8.- Intellectual Property

The content of the Luxy Fun website is protected by copyright, database rights, trademarks, and other intellectual property rights. Neither the User, the Member, nor the Guest has the right to use or license any of these intellectual property rights. They may not modify, reproduce, republish, copy, publish, upload, transmit, or distribute in any manner the information or materials on the Website. This includes information, names, graphics, logos, icons, designs, words, titles, or phrases appearing on the website.

The display of trademarks on the website does not imply the granting of any license. Any unauthorized downloading, retransmission, copying, or modification of the trademarks or content contained herein may constitute a violation of federal common law or trademark or copyright laws, and could give rise to legal action against the infringer.

Furthermore, certain product names, logos, brands, and other trademarks appearing or referenced on the website are the property of their respective owners. These trademark owners are not affiliated with this website and do not sponsor or endorse Luxy Fun’s materials.

Our website, our communications, or during our events or dinners may display third-party trademarks or content (such as restaurant, venue, or brand logos). All third-party trademarks and content are the property of their respective owners, and their display does not imply affiliation with or endorsement by such third parties. You must not use any third-party content from our site in any manner that infringes the rights of such third parties.

If you believe that any content on our website or used in our service infringes your intellectual property rights (such as your copyrighted work or trademark), please notify us immediately with the relevant details, and we will investigate and respond appropriately, including the removal or disabling of access to the infringing material in accordance with Applicable Law.

9.- Privacy, Data Management, and License

We take your privacy very seriously. Below we describe our Privacy and Data Management Policy, explaining how we collect, use, and protect your personal information. By using our Services, you agree to the collection and use of your data as described in this agreement.

To provide our services, we collect and process personal and potentially sensitive information that you choose to share (such as age, photos, preferences, or other personal data). You are aware that we will use this data exclusively to provide and improve our Services.

As a Member or Guest, upon registration, you will provide us with content that may include personal information, photographs, profile descriptions, and other materials (“your Profile”) for use on your Web profile. You retain ownership of your Profile. Luxy Fun does not claim ownership of personal photos, biographical information, or any other original material you provide. However, we require certain rights to use this content and provide our Services effectively. You retain ownership of your photographs and personal information at all times. However, in order to manage the security screening, verify your identity, and enable prior interaction on the event’s exclusive channel (such as the activity’s Telegram channel), you grant Luxy Fun a limited, non-exclusive, and temporary license to use, adapt, and display such content solely within the framework of the contracted experience. Luxy Fun will not use the information or images of Members or Guests to publish them on our web platform or in promotional materials without your prior written consent.

You therefore grant Luxy Fun the following license:

License Grant for Non-Confidential Information: For information you provided in the registration forms and designated as non-“Confidential,” you hereby grant Luxy Fun a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, adapt, translate, distribute, and display your content, in whole or in part, solely for the purpose of providing our Service and operating our business. You agree that certain elements of your content (such as your name, age, profession, short bio, general location, photos, and videos) may be displayed or shared exclusively on your profile on our Website, or shared with members interested in sending you an invitation, or displayed in the Telegram channels of events for which you confirmed attendance. Non-confidential information will not be displayed or shared in physical or digital promotional or marketing materials for our brand or services unless you grant us your written consent.

Confidential Information: Information you provided in the registration forms and designated as “Confidential” will under no circumstances be disclosed, shared, or published to Users, Members, or Guests in general, nor shared or published on our Website, social media, or through any other physical or digital medium, unless you grant us your written consent.

Modifications: Our team may make minor modifications to your content (such as retouching a photo or correcting the grammar of your biography) to enhance your profile. Such modifications are covered by the license referenced above. We will not distort your image or write false information; modifications are intended to present you in the best possible way, based on the truth.

Warranty of Rights: You represent and warrant that you hold all rights necessary to provide your Content to Luxy Fun and to grant the license referenced above. This means, for example, that you are the copyright holder of the photos or texts you provide, or that you have obtained permission from the owner to use them in this context. You likewise warrant that your Content does not infringe the rights of third parties and that our use thereof, in accordance with the granted license, will not violate any law or the rights of any person. You agree to indemnify Luxy Fun for any breach of this warranty.

Use in Marketing or Testimonials: We value your privacy. We will not use your content in our promotional or marketing materials unless you grant us your written consent. The license you grant above for service purposes does not automatically authorize us to publish your identity or image in advertising.

10.- Safety and Protection

We verify the sensitive information of our Members and Guests. Our staff and the staff of partner venues will be responsible for your safety at all times. For dinners at partner venues, staff will follow a wellbeing protocol before you leave the premises. We do not disclose your contact information to other members unless you grant us your written consent. However, your interactions outside of and after our events or dinners with people you meet through our Services are your sole responsibility. Luxy Fun makes no guarantees regarding other individuals, Members, or Guests. You assume all risks associated with meeting other people through the Service.

If you experience or witness inappropriate or unsafe conduct, you must report it to the Luxy Fun team immediately. While Luxy Fun may take internal measures at its discretion, it is not responsible for the conduct of contacts or third parties.

You agree that Luxy Fun is not responsible for any damage, injury, loss, or harm resulting from your interactions outside of and after our events or dinners with people you meet through our Services.

11.- Third-Party Rights

This section of the terms and conditions constitutes an agreement between Luxy Fun, its directors, employees, agents, licensors, suppliers, partners, and any third party that provides information to Luxy Fun. Such individuals or companies shall have full right to enforce and demand compliance with these provisions directly against any User, Member, or Guest.

12.- Indemnification

You agree to indemnify, defend, and hold harmless Luxy Fun, its parent company, subsidiaries, and each of their representatives, respective officers, directors, employees, agents, licensors, partners, allies, and any information and service providers for Luxy Fun against any and all third-party claims, demands, complaints, litigation, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to:

Breach of this Agreement: Any violation of these Terms on your part, including but not limited to the breach of your representations and warranties under this Agreement. For example, if you provided false information and a third party suffers damages or files claims against us as a result of such false information, you shall indemnify us.

Your conduct: All your acts or omissions when using our Services. This includes your behavior toward other Users, Members, or Guests (within or outside the Service). If you harm someone or violate their rights while using the Service, you will be responsible for the consequences.

Your content: Any content or material you submit, post, or transmit through our Services that causes harm or infringes the rights of third parties. For example, if you provided us with a photo for use and it turns out you did not hold the rights to it and the rightful owner files a claim against Luxy Fun, you agree to indemnify us accordingly.

Legal or rights violations: Any violation on your part of any law, regulation, or third-party rights in connection with the use of the Services. This may include violations of data privacy laws (such as the misuse of personal information obtained through the Service), infringement of intellectual property, or other offenses.

Luxy Fun reserves the right, at its own cost, to assume exclusive defense and control of any matter subject to indemnification by you. In such case, you agree to cooperate with our defense of such claim as reasonably requested. You likewise agree not to reach any settlement regarding such matter without the prior written consent of Luxy Fun.

This indemnification obligation shall survive the termination or expiration of this Agreement and your use of the Services. This means that even after you stop using the Service, if a claim subsequently arises related to your use, you may remain liable for the costs and damages described above.

13.- Disclaimer of Warranties

Use of the Service is at your own risk. Luxy Fun provides the Website and Services “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, Luxy Fun disclaims any and all warranties of any kind, whether express, implied, or statutory, with respect to the Services, the Website, and any content or information provided therein. This includes, but is not limited to:

Implied Warranties: We expressly disclaim any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that may arise from course of dealings or trade usage. We do not warrant that our Services will meet your expectations or requirements.

No Warranty of Availability: We do not warrant that the Services or the Website will be uninterrupted, timely, secure, or error-free. While we strive to keep the service active and accurate, we cannot promise that access will always be available or that there will never be technical failures, delays, or errors. 14.- Limitation of Liability

To the maximum extent permitted by law, Luxy Fun, its parent company, subsidiaries, and each of their representatives, respective officers, directors, employees, agents, licensors, partners, and allies shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to the use (or inability to use) of the Website or the Services. This includes, but is not limited to, damages for: emotional distress, loss of opportunities, loss of profits, loss of data, personal injury, or any other intangible loss, even if we have been informed of the possibility of such damages.

Specifically, Luxy Fun shall not be liable for:

Member results or conduct: Any emotional or physical harm, financial loss, or any other type of damage arising from encounters or relationships (or attempted relationships) with other members. This includes any incident occurring before, during, or after an event or dinner, communications that turn negative, rejections, or any incompatibility issues. You assume all risks inherent to interactions with other people.

Third-party acts: Any act, omission, or content provided by third parties (including other users, members, contacts, or external providers). If, for example, a member behaves inappropriately or illegally, or if a third-party website mishandles your data or generates a dispute, these occurrences are beyond our control and we shall not be held responsible.

Service interruptions: Any interruption or cessation of access to the Services, any error, virus, or harmful code that may be transmitted through our website by any third party, or any error or omission in any content or communication.

Loss of data or content: If any data or content you have provided to us is lost, damaged, or cannot be recovered (for example, due to a technical failure), our liability shall be limited as described herein. We recommend that you keep backup copies of any important information (such as your profile description) as a precaution.

Monetary transactions: Apart from the refund obligations explicitly set forth in these Terms, Luxy Fun’s financial liability for any claim related to billing or payments is limited to correcting the error or issuing the appropriate refund as determined by these Terms.

Exceptions: Some jurisdictions do not permit the exclusion or limitation of certain damages, so some of the limitations above may not apply in your case. In such jurisdictions, our liability shall be limited to the minimum amount permitted by law. Furthermore, nothing in these Terms shall limit or exclude liability for gross negligence, willful misconduct, fraud, or any other liability that cannot be excluded under applicable law (for example, certain consumer protection or product liability laws may impose non-waivable liability).

You acknowledge that without these limitations of liability, Luxy Fun would not be able to offer the Services at the same prices or under the same conditions, and that these limitations constitute an essential basis of the agreement between you and Luxy Fun.

15.- Dispute Resolution

In the event of any dispute arising between the User, Member, or Guest and Luxy Fun, stemming from the execution, interpretation, compliance, non-compliance, or provision of the Services (including alleged non-compliance) under this Agreement, the User, Member, or Guest and Luxy Fun shall first engage in conversations or negotiations to resolve the dispute amicably. If the dispute cannot be resolved through amicable conversations or negotiations, either party shall submit it to binding arbitration.

Unless prohibited by law, any dispute or claim arising from these Terms or from your use of the Services shall be resolved exclusively through final and binding arbitration. The arbitration shall be conducted in accordance with the arbitration rules of the American Arbitration Association (AAA) in Florida.

By using Luxy Fun’s Services, the User, Member, and Guest agree to dispute resolution through arbitration and waive the right to resort to the courts as a forum for dispute resolution.

All proceedings must be conducted on an individual basis. You and Luxy Fun waive any right to participate in class actions, group claims, or representative actions. If this waiver is deemed unenforceable, the arbitration clause shall not apply and any dispute must be resolved in the courts.

You and Luxy Fun waive the right to a jury trial for any dispute covered by this agreement. If a claim is brought before a court rather than through arbitration, you agree to a bench trial.

Luxy Fun may seek injunctive or equitable relief from the courts to protect its intellectual property or prevent unauthorized use of the Services, without the need to first resort to arbitration.

This section shall survive the termination of the Agreement and shall remain in force even if your relationship with Luxy Fun ends.

16.- Termination/Cancellation

The User’s, Member’s, or Guest’s agreement to comply with these terms and conditions shall remain in effect for as long as they use the Website and throughout the duration of their membership, or until they decide otherwise, unless Luxy Fun expressly terminates it earlier. Luxy Fun reserves the right to terminate this agreement and cancel the account at its sole discretion, at any time, with or without prior notice and with or without just cause, with immediate effect.

You have the right to stop using our website or services at any time. Simply ceasing to communicate or participate does not necessarily imply termination of the contract or your payment obligations; you must explicitly notify us if you wish to cancel the service.

Upon the termination of your relationship with Luxy Fun for any reason:

Your rights of access to and use of the Services shall cease immediately. You must stop using any confidential material or proprietary documents you have obtained and, if requested by us, must promptly return or destroy any copies in your possession (except that you may retain copies of your own profile content that you provided).

Any license you have granted to Luxy Fun shall remain in effect to the extent necessary for any permitted use that survives termination (for example, if you agreed to allow us to use a testimonial on our site, that license continues unless revoked by mutual agreement).

Surviving Provisions: All provisions of these Terms that, by their nature, should survive termination shall remain in effect, along with any license or right to use content granted to us, as well as any payment obligations you incurred prior to termination. The Privacy Policy also remains in effect with respect to the information we retain.

If your account was cancelled due to a breach of terms, we may prevent you from re-registering or using our services in the future. You must not attempt to circumvent the cancellation (for example, by creating a new account under a different name) without our permission.

Termination of this Agreement does not release either party from liabilities or obligations incurred prior to termination (for example, an unpaid invoice or an indemnification obligation for prior acts).

If you have terminated the Agreement and subsequently wish to resume the Services, you may contact Luxy Fun to inquire about the possibility of re-engaging them. A new agreement and additional fees may apply. We reserve the right to decline reactivation at our discretion.

17.- Severability/Waiver

If any provision of this Agreement is declared illegal, void, or unenforceable by a competent court, such provision shall be modified, to the maximum extent permitted by law, to reflect the intent of the parties or, if modification is not possible, shall be severed from this Agreement. Such severance shall not affect the validity or enforceability of the remaining provisions of this Agreement.

18.- Cancellation or Rescheduling of Services

Luxy Fun shall not be liable for any delay or failure in the provision of Services resulting from causes beyond our reasonable control. This includes, but is not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, pandemics, epidemics, accidents, network infrastructure failures, strikes or labor shortages, transportation shortages, illness, failure to reach the minimum number of participants required for the event or dinner to take place, or any other force majeure event.

Luxy Fun reserves the right to cancel or reschedule events or dinners for the reasons described in the preceding paragraph. Notice will be communicated up to 24 hours prior to an event and up to 12 hours prior to a dinner.

If such an event occurs and affects Luxy Fun’s ability to provide the Services as agreed, we will make every effort to notify you and will endeavor to resume provision as soon as possible. The timeframe for the provision of the Service shall be extended by a period equal to the duration of the delay caused by the force majeure event. We may likewise suspend the Services during such events without any liability.

19.- Entire Agreement and Acceptance

This Agreement, together with the other obligations and rules detailed in writing on the Website, including but not limited to the Privacy Policy, constitutes the entire agreement between the User, Member, or Guest and Luxy Fun. This Agreement may not be individually modified by any person other than one authorized by Luxy Fun to do so.

You acknowledge that you are not relying on any statement or warranty not expressly set forth in these Terms.

By using the Luxy Fun website or services, you acknowledge and agree to these Terms and Conditions.
